Two subsidiaries of Zech Group SE take over all 320 employees of the insolvent Karrié Baugesellschaften as part of an asset deal
Bremen/Mainz, 7 January 2026: ZECH Bau SE and Wayss & Freytag Ingenieurbau AG, both subsidiaries of Zech Group SE's Zech Building SE division based in Bremen, have signed an agreement to take over the approximately 320 employees and movable fixed assets of the insolvent construction companies Karrié Baugesellschaft and Karrié Bauwerkserhaltung. For formal reasons, the insolvency administrator can only sign both contracts on the day the respective proceedings are opened. For Karrié Bauwerkserhaltung GmbH, this already happened on Friday, 2 January 2026, and the contract for Karrié Bau GmbH will be signed when insolvency proceedings are opened on 2 February 2026. The creditors' committee of Karrié Bauwerkserhaltung has already approved the transaction, and the approval of the creditors' committee of Karrié Bau is expected on 2 February 2026. After that, this contract will also be legally effective.
‘We are very pleased with the rapid implementation of this solution, which will preserve the operating locations of both companies and all 320 jobs,’ said the provisional insolvency administrator, Götz Lautenbach from the restructuring law firm BBL. The M&A process was accompanied by Philippe Piscol, partner and head of (distressed) M&A at Dr. Wieselhuber & Partner GmbH.
Zech Group SE is a strategic management holding company that brings together three business divisions with their operating management companies in the real estate sector. According to ZECH Building, the takeover of Karrié's employees will strengthen its expertise and resources in building construction and building maintenance and expand its regional presence in Germany.
On 20 October 2025, the Mainz Local Court ordered provisional insolvency administration of the assets of Karrié Bauwerkserhaltung GmbH and, on 3 November 2025, also ordered provisional insolvency administration of the assets of Karrié Bau GmbH. Since then, the provisional insolvency administrator Lautenbach had continued to operate the companies. Existing orders were continued to be executed and new orders were also initiated.
Karrié Bau GmbH is an owner-managed construction company based in Mainz, while its sub-subsidiary Karrié Bauwerkserhaltung GmbH has offices in Mainz, Munich, Stuttgart, Recklinghausen, Erfurt and Hamburg. Together, the two companies generated sales of approximately €77 million in the last financial year.
