Bremen/Frankfurt, 19 September 2022 : ZECH Building SE, in which all construction activities of the Zech Group are bundled, has acquired 100% of the shares in Wayss & Freytag Ingenieurbau AG, including its subsidiaries and consortium projects, from Royal BAM Group nv. The transaction was contractually agreed as part of a share deal on 20 June 2022 and completed on 15 September 2022. The takeover took place retroactively to 1 January 2022 and the parties have agreed not to disclose the purchase price.
The company will continue to operate as Wayss & Freytag and will be integrated into the Zech Group's growth-oriented corporate structure in the new "Civil Engineering" division within the Building business unit. All employees have been taken on and the contact persons will remain the same. With around 1,000 employees, Wayss & Freytag is active throughout Germany and selectively abroad in the fields of civil engineering and tunnelling. With the takeover by ZECH Building, Wayss & Freytag will have a new brand identity. With its blue and white colour scheme, it combines the traditional past of Wayss & Freytag with the shared future of the Zech Group.
Wayss & Freytag is one of the leading companies for complex construction and engineering services, specialising in civil engineering projects for public and private clients. The core service portfolio includes tunnelling, civil engineering, special civil engineering and traffic route construction. It also offers environmental engineering services, broadband expansion and the modernisation and revitalisation of existing buildings. The company achieved a turnover of more than 500 million euros in the 2021 financial year. This is the first time that the Zech Group has increased its turnover to more than 4 billion euros.
With the acquisition of Wayss & Freytag, ZECH Building is significantly expanding its share of projects with public-sector clients and further diversifying its divisional organisation. With this acquisition, the Zech Group is considerably expanding the range of value creation in the construction sector. In addition, synergies with the environment, construction and technology divisions can be realised.
Kurt Zech, CEO of Zech Group SE, explains: "We are very happy that we have been given the opportunity to acquire such a renowned company with an experienced management team and highly qualified employees. The expertise of the entire Wayss & Freytag workforce and the ongoing projects complement our existing service portfolio very well. With this investment, we are substantially strengthening our construction activities - both quantitatively and qualitatively - and further expanding our position in the Building division in Germany."
Harald Supper, CEO of Zech Group SE, adds: "With the acquisition and integration of Wayss & Freytag, we are strengthening our market position in Germany. Thanks to our large Construction, Technology and Civil Engineering divisions as well as our other activities in the Integral Planning, Systems, Environment and International & Consulting divisions, we can now also offer our unique service portfolio as the service provider for all aspects of property to all customers in civil and structural engineering. The company-wide partnering model SMART CONSTRUCTION offers our customers a significantly expanded range of services from a single source without interfaces thanks to the greatly expanded value creation profile."
