Bremen/Mainz, 7 January 2026: ZECH Bau SE and Wayss & Freytag Ingenieurbau AG, both subsidiaries of Zech Group SE of the Zech Building SE division based in Bremen, have signed an agreement to take over the approximately 320 employees and movable assets of the insolvent construction companies Karrié Baugesellschaft and Karrié Bauwerkserhaltung. For formal reasons, the insolvency administrator can only sign both contracts on the day the respective proceedings are opened; for Karrié Bauwerkserhaltung GmbH, this was already done on Friday, 2 January 2026, while Karrié Bau GmbH will be signed when the insolvency proceedings are opened on 2 February 2026. The creditors' committee of Karrié Bauwerkserhaltung has already approved the transaction and the creditors' committee of Karrié Bau is expected to approve it on 2 February 2026. This agreement will then also be legally effective.
"We are very pleased about the rapid realisation of this solution, which will preserve the operating sites of both companies and all 320 jobs," said the provisional insolvency administrator, Götz Lautenbach from the restructuring law firm BBL. The M&A process was accompanied by Philippe Piscol, Partner and Head of (distressed) M&A at Dr Wieselhuber & Partner GmbH.
Zech Group SE is a strategic management holding company that combines three business divisions with their operationally active property management companies. By taking over the employees of the Karrié companies, ZECH Building is strengthening its expertise and resources in building construction and building maintenance and expanding its regional presence in Germany.
On 20 October 2025, Mainz Local Court ordered provisional insolvency administration over the assets of Karrié Bauwerkserhaltung GmbH and, on 3 November 2025, provisional insolvency administration over the assets of Karrié Bau GmbH. Since then, the provisional insolvency administrator Lautenbach has continued the companies' operations. Existing orders continued to be executed and new orders were also initiated.
Karrié Bau GmbH is an owner-managed construction company based in Mainz, while the second-tier subsidiary Karrié Bauwerkserhaltung GmbH has offices in Mainz, Munich, Stuttgart, Recklinghausen, Erfurt and Hamburg. In the last financial year, both companies together achieved a turnover of around 77 million euros.
